If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-effective rules. The arbitration shall take place in Shenzhen, China, and shall be conducted in English. The arbitral award shall be final and binding on both parties.
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Xingye Machinery.
